These Terms of Service ("Terms") are a binding agreement between you and SOFX, Inc. ("SOFX," "we," "us," or "our") governing your purchase and use of the Wired to Win assessment and related products and services (together, the "Services"). Please read them carefully. If you do not agree, do not purchase or use the Services.

1. Acceptance of These Terms

By purchasing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the Services and Tiers

Wired to Win is a research-grade behavioral and career assessment delivered online, powered by the validated DISC and 12 Driving Forces instruments provided by TTI Success Insights. After purchase, you complete the assessment and receive personalized materials, which may include a Behavioral Report, a Career Strengths Report, a guidebook, and an AI prompt library.

We offer multiple one-time-purchase tiers (for example, at the $197, $497, and $1,497 price points). Higher tiers include additional materials and live 1:1 coaching sessions, which may include sessions with our founder, Sam Havelock. The specific contents of each tier are described at the point of purchase and may be updated from time to time.

3. Eligibility

The Services are intended only for individuals who are at least 18 years old and able to form a binding contract. By using the Services, you represent that you meet these requirements.

4. Accounts

You may need to create an account or provide accurate information to access certain Services. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at admin@sofx.com if you suspect unauthorized use.

5. Pricing, Payment, and 30-Day Money-Back Guarantee

  • One-time pricing. Each tier is a one-time purchase at the price shown at checkout. We do not charge a recurring subscription unless expressly stated. Prices may change, but changes do not affect purchases already made.
  • Payment. Payments are processed by a third-party payment processor. By purchasing, you authorize the applicable charge and agree to the processor's terms. You represent that you are authorized to use the payment method provided.
  • Taxes. Prices may not include applicable taxes, which may be added at checkout.
  • 30-day money-back guarantee. We offer a 30-day money-back guarantee. If you are not satisfied, you may request a refund within 30 days of your purchase by contacting us at admin@sofx.com. Approved refunds are issued to the original payment method. We may decline refund requests that we reasonably determine to be abusive, fraudulent, or outside the 30-day window. For tiers that include coaching, refunds may be reduced to account for coaching sessions already delivered, as described at the point of purchase.

6. Coaching Sessions (Applicable Tiers)

If your tier includes live 1:1 coaching:

  • Scheduling. Sessions are scheduled through the method we provide and are subject to availability. Any included sessions should generally be used within the timeframe stated at purchase; unused sessions may expire after that period.
  • Rescheduling and cancellations. Please give reasonable advance notice (as specified at booking) to reschedule or cancel a session.
  • No-shows and late arrivals. If you miss a scheduled session without adequate notice, that session may be treated as used. Significant lateness may shorten or forfeit the session.
  • Conduct. Coaching is a professional engagement. We expect respectful conduct, and we may end or decline a session if a participant is abusive, harassing, or otherwise in breach of these Terms.
  • Nature of coaching. Coaching provides general guidance and informational support based on your assessment results. It is not therapy, counseling, or professional medical, psychological, legal, or financial advice (see Section 9).

7. Intellectual Property and License

  • Our materials. The Services, including the reports, guidebook, AI prompt library, website content, and related materials, are owned by SOFX or its licensors and are protected by intellectual property laws.
  • TTI instruments. The DISC and 12 Driving Forces instruments and associated content are owned and/or licensed by TTI Success Insights and are used under license. Nothing in these Terms transfers any rights in those instruments to you.
  • Your results. As between you and SOFX, you own the underlying facts of your individual assessment results (your personal profile data). The report formats, templates, narrative content, scoring frameworks, and related materials in which those results are presented remain the property of SOFX and/or TTI Success Insights and are licensed to you, not sold.
  • License to you. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the reports and materials for your own personal and professional development. You may not resell, republish, redistribute, commercially exploit, or create derivative products from the materials, or use them to build a competing service, without our written permission.

8. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose;
  • Share, resell, or provide unauthorized access to your account, reports, or materials;
  • Submit false information or take the assessment on behalf of another person without authorization;
  • Attempt to copy, scrape, reverse-engineer, or extract the underlying instruments, scoring, or content;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or our systems; or
  • Use the Services or AI features to generate unlawful, infringing, or abusive content.

9. Important Disclaimers — Nature of the Assessment

Please read this section carefully. Wired to Win provides informational insights about your behavioral tendencies, motivators, and potential career strengths. It is intended for self-awareness, personal development, and career exploration only.

  • The assessment and any reports, coaching, or AI-generated content are NOT medical, psychological, clinical, diagnostic, therapeutic, legal, financial, or employment-decision advice, and are not a substitute for advice from a qualified licensed professional.
  • The assessment is not a clinical or diagnostic tool and does not diagnose, treat, or address any medical or mental-health condition. If you need such help, please consult a qualified professional.
  • The DISC and 12 Driving Forces instruments were not designed as standalone hiring or selection tools, and the Services are not intended to be used as the sole basis for any employment, hiring, promotion, or similar decision. You are solely responsible for any decisions you make, and for ensuring that any use of results in an employment context complies with applicable laws.
  • No guaranteed outcomes. Your results do not guarantee any particular career, job, income, promotion, or other outcome. Results depend on many factors outside our control, including your own actions. Any examples or testimonials are not promises of results.

10. Warranty Disclaimer

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any results or insights will meet your expectations. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, SOFX and its officers, employees, contractors, coaches, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost opportunities, or lost data, arising out of or relating to the Services, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total liability for all claims relating to the Services will not exceed the amount you paid to us for the Services giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless SOFX and its officers, employees, contractors, coaches, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Except where prohibited by applicable law, you agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any non-waivable rights you may have under applicable consumer-protection laws.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

15. Termination

We may suspend or terminate your access to the Services if you breach these Terms or misuse the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
